Please read these Terms and Conditions carefully before purchasing, accessing, or using any of our Products, Programs, and Services.

Services Agreement

This Agreement (“Agreement”) is made and entered into by and between you (“Client,” “you,” “your”) and Daena Coaching, LLC (the “Company,” which includes its owner, employees, contractors, representatives, and affiliates, including but not limited to Nedda Mehdizadeh in her capacity as owner, director, and coach; collectively referred to herein as “Company,” “Coach,” “us,” “we,” “our”).

The Company agrees to provide Client with coaching services, content, programming, and/or Resources (collectively, the “Services,” which may include a specific “Program,” “Product,” or “Resource” provided by Company) as outlined in this Agreement and at Program Checkout.

All Services referenced in this Agreement apply solely for the specific offer purchased by Client and do not extend to any other Service offered by the Company. As a condition of purchasing, using and/or participating in the Services, Client agrees to be bound by and to abide by all policies and procedures set forth in this Agreement and at Program Checkout, including those incorporated by reference.

  1. Terms of Use

By purchasing any Services from Company, including but not limited to registering for free content, paid content, and accessing the Company’s website, email correspondence, and social media accounts, you agree and consent to the following legal terms and conditions that govern your use of and/or participation in the Service and that form a legal agreement between you and the Company. The details of the Service for which you are registering are outlined at Program Checkout.

Nothing in this Agreement shall be construed to create a partnership, joint venture, employment, or agency relationship. The Company agrees only to provide Client with access to the Service. The Service, including any interactions with the Coach, are not intended as, and shall not be understood or construed as, personal or professional advice. 

The Company cannot guarantee specific emotional, professional, personal, or monetary outcomes as a result of the Service. Comments about the outcomes of any Services are expressions of opinion only. The Company makes no guarantees other than that the Service outlined at Program Checkout shall be provided to Client in accordance with the terms of this Agreement.

The Client agrees to engage with compassion and to act respectfully toward the Coach, Company staff, as well as participants in group programming and/or discussion spaces. If a Client does not comply, he/she/they will risk removal from the Program or Service at their own cost.

  1. Client Participation

Client is solely responsible for creating and implementing his/her/their own physical, mental, and emotional well-being, decisions, choices, actions, and results arising out of or resulting from the Program, his/her/their participation therein, and interactions with the Coach. As such, the Client agrees that the Company is not and will not be liable or responsible for any action or inaction, or for any direct or indirect result of any Services provided by the Company. Client understands coaching is not therapy and does not substitute for therapy if needed, and does not prevent, cure, or treat any mental disorder or medical disease. If Client is currently under the care of a mental health professional, it is recommended that the Client promptly inform the mental health care provider of the nature and extent of the coaching relationship agreed upon by Client and Coach.

Client acknowledges that coaching (one-on-one, group, or otherwise) is a comprehensive process that may involve different areas of the Client’s life, including work, finances, health, relationships, education, and recreation. The Client agrees that deciding how to handle these issues, incorporating coaching principles into those areas, and implementing choices is exclusively the Client’s responsibility.

Client acknowledges that Company cannot guarantee any results.

  1. Coaching Programs and Services

The Company offers a variety of coaching Services, including one-on-one coaching, live group Programs, self-paced/asynchronous courses and classes, digital Resources, and supplemental coaching options and content. Each Service is designed to provide guidance, education, and tools to support Client’s personal and professional growth. The type and scope of Service provided vary by Program, and not all Programs include every type of Service described above. Participation in any Program requires active engagement, and outcomes depend on the Client’s commitment, effort, capacity, and application of materials provided. Client acknowledges that Company cannot guarantee any results.

All Program details, including schedules, access periods, content availability, and any supplemental Services, are outlined at Program Checkout. By enrolling, the Client acknowledges and agrees to comply with the rules, policies, and procedures described in this Agreement and at Program Checkout for the Service he/she/they are purchasing, including but not limited to payment terms, attendance expectations, confidentiality, intellectual property rights, and other applicable guidelines.

  1. Description of Program Services

The details of the Services are outlined at Program Checkout. Client acknowledges that the Services may undergo programmatic changes over time, including but not limited to changes in rates, details, offerings, Resources, schedule, curriculum, and/or content. Client understands that these potential changes to future versions of the Program and any offerings associated with past versions of the Program are not included in the version outlined at Program Checkout, unless noted otherwise.

Client understands that some Services may include “lifetime access.” This designation refers solely to the lifetime of the specific Service in its form at the time of Program Checkout, and not the lifetime of the Client or the Company. The Company may update, change, revise, replace, or discontinue any Service at any time, in its sole discretion. In the event that a Service is modified or retired, Client’s access may be revoked or replaced without refund, notice, or further obligation. “Lifetime access” does not guarantee perpetual availability.

Expiration: The Services for which you are registering will take place according to the schedule outlined at Program Checkout. The Service, as outlined at Program Checkout and in accordance with this Agreement, will cease upon expiration, unless the Company has indicated otherwise in writing.

Pricing and Payments: In consideration for the Services provided by Company, Client agrees to pay the full required amount as outlined at Program Checkout. Determination of amount, method, and schedule of payment are outlined at Program Checkout. *Please note: for all Services under a subscription or payment plan, payment must be received before any Service is rendered. In the event that one payment is missed, Services will be halted until Client remits payment. Client must remit payment before the next coaching call, meeting, or course session. If two payments are missed, Coach reserves the right to cancel the subscription, coaching package, access to Resources, and any other Programs or Products included in Service. No refunds are available. Purchases are non-transferable. If Client wishes to resume coaching after termination for nonpayment, they may re-enroll at the then-current rates, subject to the Coach’s approval and availability. Coach reserves the right to decline re-engagement at Coach’s sole discretion.

Purchases and Online Commerce: By purchasing the Services, you give us permission to charge your method of payment automatically as compensation for Services without any additional authorization, for which you will receive an electronic receipt.

The following subsections provide specific terms and conditions for each type of Service offered.

A. One-on-One Coaching Services: The following terms apply to all one-on-one coaching Services provided by Company.

Scheduling and Availability

The date(s) and time(s) of coaching sessions will be determined based on the Coach’s availability. Client shall select a session time using the Coach’s designated scheduling platform. The Coach reserves the right to adjust availability as needed and will make reasonable efforts to offer an alternative time if a scheduling conflict arises.

Cancellation and Rescheduling Policy

Cancellations or requests to reschedule must be made at least forty-eight (48) hours prior to the scheduled appointment time. Cancellations made with fewer than 48 hours’ notice are considered forfeited and will not be rescheduled or refunded. Client understands that repeated late cancellations may result in termination of coaching relationship at the Coach’s discretion. Coach may allow a late reschedule in extenuating circumstances solely at the Coach’s discretion.

No-Show Policy

If Client fails to attend a scheduled session without 48 hours prior notice, the session will be considered a “no-show” and will be forfeited. No refunds or rescheduling will be provided for no-show sessions.

Session Expiration

All coaching sessions must be scheduled and completed within the timeframe specified at Program Checkout. Any unused sessions remaining after the expiration date will be forfeited, and no extensions, credits, or refunds will be provided unless otherwise agreed in writing.

Payment and Service Suspension

Services are contingent upon timely payment. In the event that one payment is missed, Services will be halted until Client remits payment. Client must remit payment before the next coaching call, meeting, or course session. If two payments are missed, Coach reserves the right to cancel the subscription, coaching package, access to Resources, and any other Programs or Products included in Service. No refunds are available. Purchases are non-transferable. If Client wishes to resume coaching after termination for nonpayment, they may re-enroll at the then-current rates, subject to the Coach’s approval and availability. Coach reserves the right to decline re-engagement at Coach’s sole discretion.

Refund Policy

No refunds will be issued for Services rendered. If Client fails to use all sessions within the Program period, he/she/they will forfeit the unused Services and are not entitled to partial or full refund.

Communication Between Sessions

Communication between sessions is limited to the methods and frequency specified at Program Checkout. Coach will respond to messages within four business days during normal business hours. Coach is not obligated to respond outside of these parameters. If Client becomes unresponsive during the Program period, Coach may choose to make a good-faith outreach attempt at their sole discretion; Client understands that it is his/her/their responsibility to schedule remaining sessions before expiration.

Session Logistics and Etiquette

All one-to-one coaching sessions will be conducted via Zoom unless otherwise specified. Clients are expected to join coaching calls on time, with his/her/their camera turned on, and prepared to participate for the full scheduled session. If Client is late or is otherwise unavailable such that more than 25% of the scheduled session time is missed, Coach reserves the right to end the session early without rescheduling or issuing a refund. All sessions will conclude at the originally scheduled time, regardless of when the session begins. It is recommended that Client update their Zoom software and check audio/video functionality prior to the call to prevent technical issues. If technical difficulties occur on the Client’s end, the session will proceed as best as possible. Coach is not obligated to reschedule the coaching call; no refunds will be granted. If technical difficulties occur on the Coach’s end, the session will be rescheduled at no additional cost to Client.

Responsibility for Technology

The Client is responsible for maintaining a stable internet connection, ensuring that their device and software are compatible with Zoom or any other agreed-upon platform. Coach is not obligated to reschedule missed or interrupted sessions due to technology issues on the Client’s end; no refunds will be granted.

B. Live Group Coaching Services: The following terms apply to all live group coaching Services provided by Company.

Live Group Programming Details

All live group Programs are conducted via Zoom, unless noted otherwise in writing by Coach. Dates, times, and other key details are listed at Program Checkout. By joining the group Program, Client agrees to have reviewed these details carefully before enrolling. Client agrees to participate in all scheduled sessions in accordance with Agreement and details at Program Checkout.

Participation and Presence

Client is expected to attend live sessions as scheduled, keep his/her/their camera on, and engage actively with the group experience. Client understands that his/her/their presence contributes to the learning environment for everyone involved. Client agrees to participate in accordance with collective learning and understanding.

Group Etiquette and Privacy

Respectful behavior toward Coach, Company staff, and other participants is required at all times, whether during a live group coaching call, in electronic communication, discussion forums, or any other real or virtual space. Coach reserves the right to remove a Client from Program if his/her/their conduct is disruptive, disrespectful, or harmful.

Group spaces are intended to be confidential. Client understands that he/she/they must honor the privacy of others and refrain from sharing personal information and images and/or recordings of communication with others. Client understands that Coach cannot guarantee that all participants will uphold this expectation, and that it is the Client’s responsibility to use his/her/their discretion when deciding what to share in a group setting, whether during a live group coaching call, in electronic communication, discussion forums, or any other real or virtual space.

Client understands that all Program materials, including but not limited to recordings, workbooks, handouts, images, and other related content are the exclusive property of Company. Client understands that these Program materials and Products may not be reproduced, distributed, and/or shared outside the Program community for any reason including but not limited to monetary gain, unless stated otherwise in writing by Coach.

Access and Recordings

Client understands that they may find information about access to content and recordings for his/her/their Program at Program Checkout. If recordings are provided, they are for registered participants only and may not be distributed or shared for any reason. If no recordings are available, live attendance is required to receive the full value of the group coaching experience. Client understands that they may not record live group programming for any reason and may only download materials, such as workbooks and handouts for personal use. Client understand that he/she/they may not reproduce, distribute, and/or share any Company content, Programs, or Products in any way with anyone.

Program access is limited to registered participants only. Client may not invite, share materials with, or allow non-registered individuals, including but not limited to friends, colleagues, mentees, family members, or any other individual to attend, observe, or participate in any part of the Program.

Intellectual Property

All materials shared during Program, including but not limited to images, slides, worksheets, exercises, prompts, and discussions, are the intellectual property of Company. Enrollment grants Client access to Program materials for personal use only. Copying, redistributing, or using any materials for business, teaching, or other professional purposes without written permission is prohibited.

Communication

Enrollment in a group Program includes access to group sessions and any designated materials and group communication channels as specified at Program Checkout. It does not include one-on-one coaching or private consultation outside what has been outlined at Program Checkout. Client is welcome to email brief logistical or clarification questions. Should the Client require extended or individual coaching support, he/she/they may elect to register for a one-on-one coaching package offered by Company.

Refund Policy

All sales are final. Refunds are not provided for Services rendered. If Client registers for Program through a payment plan and one payment is missed, Services will be halted until Client remits payment. Client must remit payment before the next coaching call, meeting, or course session. If two payments are missed, Coach reserves the right to cancel the subscription, coaching package, access to Resources, and any other Programs or Products included in Service. No refunds are available. Purchases are non-transferable. If Client wishes to resume coaching after termination for nonpayment, they may re-enroll at the then-current rates, subject to the Coach’s approval and availability. Coach reserves the right to decline re-engagement at Coach’s sole discretion.

Technology and Access Disclaimer

Participant is responsible for maintaining his/her/their own reliable internet connection, functioning audio and video setup, and access to Zoom for all live sessions. Company is not responsible for technical difficulties on the Client’s end, including but not limited to connectivity issues, device malfunctions, or missed sessions due to technology problems. Missed sessions for these reasons do not qualify for refunds or rescheduling; Client understands that it is not Coach’s responsibility to re-teach the missed session. If technical issues occur on the Coach’s end that prevent the session from taking place, Coach will reschedule the session at no additional cost to Client.

C. Asynchronous and Evergreen Services and Content: The following terms apply to all asynchronous and evergreen Services provided by Company.

Asynchronous and evergreen Services includes but is not limited to all self-paced Programs, on-demand classes, digital courses, downloadable Resources such as but not limited to workbooks, guides, and e-books, and any similar offerings, whether delivered via a hosted platform or direct download.

Access and Availability

All access details including duration, platform, and expiration date (if applicable) are outlined at Program Checkout. Clients are responsible for reviewing this information prior to purchase. Access is granted to the individual purchaser only and may not be shared, transferred, adapted, or distributed in any form. Sharing login credentials, files, materials, or any other Products or Resources with others constitutes a violation of these terms and may result in immediate revocation of access without refund.

Refunds and Payment

All sales are final. Due to the immediate and digital nature of these offerings, no refunds are issued once access is granted.

Communication

Asynchronous and/or evergreen Programs are designed for independent, self-paced learning. These offerings do not include live coaching, individualized feedback, or personalized support unless explicitly stated in writing by Coach or at Program Checkout. Communication with Coach or Company staff is limited to Program-related, logistical inquiries via email, and response times are typically within four business days.

Technology and Access Responsibility

Client is responsible for ensuring he/she/they have a stable internet connection, compatible devices, and necessary software to access and/or download any allowed course materials, downloadable Resources, and Program content outlined at Program Checkout. Company is not responsible for technical difficulties on Client’s end, including but not limited to access errors, connectivity issues, or device malfunctions. Missed access or inability to use materials for these reasons does not qualify for refunds or extensions.

If technical issues occur on the Company’s end that prevent access to paid content, Company will work in good faith to resolve the issue at no additional cost to Client.

Intellectual Property and Use

All Products and Resources provided as part of asynchronous or evergreen Services, including videos, written content, downloadable Resources, and related materials, are the intellectual property of Company. They are made available solely for Client’s personal use only. Materials may not be shared, preproduced, distributed, adapted, or repurposed without prior written permission by Coach.

Results and Responsibility

The asynchronous and evergreen Services provided by Company are educational and developmental in nature. Because they are self-paced and independently completed, Client’s results depend on his/her/their own effort, commitment, and engagement with the materials. No guarantees of outcomes are made or implied.

D. Messaging and Voice Notes Policies: The following terms apply to all messaging and voice notes policies provided by Company.

Where applicable, a Program may include supplemental coaching Services, such as voice notes via What’sApp. The extent to whether and how much this feature is available is outlined at Program Checkout. Client may use the allotted number of minutes as specified at Program Checkout; Coach’s replies do not count against the allotted minutes. Client must allow seventy-two business hours for Coach’s response, excluding weekends and holidays. All voice messaging must occur within the schedule outlined at Program Checkout and only after full payment for the allotted minutes has been received by Company. Unused or expired minutes may not be reused or carried forward, unless explicitly approved in writing by Coach. Allotted minutes are non-transferable. Voice note support is supplemental and does not replace scheduled sessions. Coach may decline to respond to questions outside the intended scope of the feature.

  1. Communication

Client shall limit email correspondence to questions about scheduling and procedure. Client shall not view email correspondence as an extension of coaching Services.

Client understands that communication with Coach shall be limited to allowances as outlined at Program Checkout. Client also understands that, by using and participating in Services, he/she/they agree to being registered for promotional, educational, and community-building content and/or mailings (electronic or otherwise) by Company. The Client also understands that he/she/they may opt out of such communication by contacting Company in writing to request removal from communications lists.

  1. Confidentiality

The coaching relationship, as well as all information (documented or verbal) that the Client shares with the Coach as part of this relationship, is bound by the principles of confidentiality set forth in the ICF Code of Ethics. However, please be aware that the Coach-Client relationship is not considered a legally confidential relationship (like the medical and legal professions) and thus communications are not subject to the protection of any legally recognized privilege. The Coach agrees not to disclose any information pertaining to the Client without the Client’s written consent. The Coach will not disclose the Client’s name as a reference without the Client’s written consent.

Confidential Information does not include information that: (a) was in the Coach’s possession prior to its being furnished by the Client; (b) is generally known to the public or in the Client’s industry; (c) is obtained by the Coach from a third party, without breach of any obligation to the Client; (d) is independently developed by the Coach without use of or reference to the Client’s confidential information; or (e) the Coach is required by statute, lawfully issued subpoena, or by court order to disclose; (f) is disclosed to the Coach and as a result of such disclosure the Coach reasonably believes there to be an imminent or likely risk of danger or harm to the Client or others; and (g) involves illegal activity. The Client also acknowledges his/her/their continuing obligation to raise any confidentiality questions or concerns with the Coach in a timely manner.

Client also understands that Coach may incorporate topics, subject matter, and messaging that emerge from coaching calls, live group sessions, communications lists and forums, and/or correspondence for general education purposes, promotional material, public announcements, and social media content. Coach will not disclose the identity of Client unless Client grants permission in writing.

Client agrees to maintain the confidentiality of all other participants in any group programming, including all comments from group coaching calls and/or any supplemental Program venues (virtual or real).

  1. Record Retention Policy

The Client acknowledges that the Company has disclosed its record retention policy with respect to documents, information, and data acquired or shared during the term of the Coach-Client relationship. Such records will be maintained by the Coach in a format of the Coach’s choice (print or digital/electronic) for a period of not less than 3 years.

  1. Termination of Agreement

While coaching is a collaborative and forward-focused process, circumstances may arise that require ending the coaching relationship early. The following policy outlines how termination is handled to maintain integrity and fairness for both Client and Coach.

All terminations, whether initiated by Client or Coach, are governed by the specific terms outlined at Program Checkout, including details regarding session schedules, payment plans, and access to materials. This section does not override or replace the payment, access, or forfeiture policies stated elsewhere in this Agreement, within individual Program descriptions, or at Program Checkout.

A. Termination by Client

If Client elects to terminate Services or Agreement for any reason, all access, sessions, and materials are immediately forfeited. Any payments made are non-refundable, and no credit will be issued for unused programming.

B. Termination by Coach

Coach may terminate this Agreement or any Program at any time, for any reason, at Coach’s sole discretion. No refunds will be issued for Services rendered including but not limited to coaching calls, programming, access to Resources as well as an administration fee of $250.

In certain circumstances, at Coach’s sole discretion and for extenuating reasons, Coach may issue a credit for unused programming to be applied toward future Programs or Services offered by Company, provided such credit is documented in writing. Any credit issued is non-transferable, has no cash value, and is subject to any limitations or expiration outlined by Coach. Nothing in this section creates an obligation for Coach to offer credit except as explicitly stated in writing.

  1. Intellectual Property Rights

Client will not copy, duplicate, repurpose, share, sell, distribute, adapt, or plagiarize the content of the Services, including but not limited to any written, visual, or oral content shared therein. Client further agrees not to upload, input, or otherwise provide any of Company’s content, materials, or proprietary information into any artificial intelligence (AI) system, software, or platform for the purpose of analysis, reproduction, modification, distribution, or to help train or improve any AI system. The Client has permission to consume and/or download digital content of written material for personal, individual, non-commercial use and solely for the advancement of his/her/their education and training as outlined at Program Checkout, provided that all copyright, trademark, and all other proprietary notices are kept intact, and the content has not been and will not be shared with others. Client may not in any way at any time use, copy, adapt, share, repurpose, imply, or suggest that the digital content of the Company is created by anyone other than, or belongs to anyone other than, Company. Company grants access to Services for Client’s individual and personal use, not for business, professional, or commercial use or in any way that results in monetary or professional gain for Client.

  1. Limited Liability

Except as expressly provided in this Agreement, the Coach makes no guarantees, representations, or warranties of any kind or nature, express or implied with respect to the coaching Services negotiated, agreed upon, and rendered. In no event shall Coach be liable to Client for any indirect, consequential, or special damages. Notwithstanding any damages that Client may incur, Coach’s entire liability under this Agreement, and Client’s exclusive remedy, shall be limited to the amount actually paid by Client to Coach under this Agreement for all Services rendered through and including the termination date.

  1. Entire Agreement

This document reflects the entire agreement between Company and Client, and reflects a complete understanding of the parties with respect to the subject matter. This Agreement supersedes all prior written and oral representations. The Agreement may not be amended, altered, or supplemented except in writing signed by both Company and Client.

  1. Dispute Resolution

If a dispute arises out of this Agreement that cannot be resolved by mutual consent, Client and Coach agree to attempt to mediate in good faith for up to 30 days after notice given. If the dispute is not so resolved, and in the event of legal action where Coach prevails, Coach shall be entitled to recover attorney’s fees and court costs from Client.

  1. Severability

If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If the Court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.

  1. Waiver

The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Agreement.

  1. Applicable Law 

This Agreement shall be governed and construed in accordance with the laws of the State of California, without giving effect to any conflicts of laws provisions.

  1. Binding Effect

This Agreement shall be binding upon the parties hereto and their respective successors and permissible assigns.
